Acceptance of terms
It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If you pay for the time block/invoice/estimate, it will be deemed to have satisfied yourself to the terms applying and have accepted these terms and conditions in full.
This invoice is valid for only 30 days, after which, I reserve the right to alter the information herein or decline it and make it invalid.
Termination of services must be received in writing.
Communication
Except for the initial introductory meeting, all communication is charged for, so it is best to keep it related to building onto the project to get the best value for your hours paid for.
All meetings and calls will only be held via prior arrangement at a time agreed to and suitable for both parties. Meetings and calls will only be scheduled to take place from noon.
You must respect my time as I am building and processing your project and if applicable, the current phase in the project that I am working on. I will need focused, uninterrupted time to work through information you have given me. You will need to wait for me to reach a key stage where I will be ready to get in touch with you in respect to progress. I will then either email you or set up a meeting or correspond in a way that works for the required output in the most efficient manner that best progresses to the next stage. It is important to build the project in a constructive manner, and time wasted in this regard will be to your cost.

Work times, SA clients: Monday to Friday 9.30am – 5.30pm (GMT+2).
Alternate work times for countries in different time zones can be arranged by prior arrangement only. I will only be available outside these hours for genuine emergencies or by prior arrangements only.
The company phone is offline outside of these hours.
Timeline & Scheduling
The invoice must be paid before this project will be scheduled in.
I require you to provide necessarry information and feedback and approvals in a timely manner, if you fail to do so within a 3 month period from project scheduling commencement, I reserve the right to terminate the agreement, close the project and both parties will be released from any obligations. I reserve the right to cancel services in the event of not being able to satisfactorily proceed with the project. This termination will not relieve your obligation to pay for services rendered up to the date of termination and any payments done will not be re-imbersed.
Content
I cannot be held responsible for this project schedule not being met due to failure to receive content for this project from you. Content and required information needs to be given in advance or in a timely manner as requested. If any content is given late and it affects any area of the project build so that a section or the entire project needs to be started again as a result of the new direction of that content, it will not be my responsibility and will be at your cost.
If I request content in a specific format—for example, providing a spreadsheet template for WooCommerce products—and it is not supplied in the required format, I reserve the right to charge for the time needed to reformat or process the content. I will not be held responsible for errors on the site or delays caused by incorrect or incomplete content submissions.
Content and directives must be received in writing; via email or written communication. If they are not received in this manner, I will not be held responsible for them not being done or done incorrectly.
Passwords, keys or any other information that requires me to put in a set of characters into an input area must be sent as copy and pasteable text content.
I will not in any way, copy or plagiarize any content, designs or any data from any existing website or copyright material online or not without written authorisation from the owner. Please make sure that there are no copyright issues and send written permission if necessary.
You agree to provide all graphic material in a physically good quality format suitable for use in the website in the form of jpg, png, gif, svg. Images must not be embedded into pdf or Word documents. Graphics that are not editable will not be used. Graphics of the correct orientation for different areas of the site must be received, please find out from me what graphics you will need to provide if you do not know, otherwise, I will put placeholders in or find free pics.
Website text copy is to be sent without readers notes or embedded comments within the text. If your copy has notes in the text, in general, these will be added into the actual content of your website.
Send documents, zip files and images through popular portals such as email, Wetransfer, Google Docs or memory stick, etc.
Time Tracking and rates
Should the project go over hours, each hour will be charged for at my hourly rate. You will be charged for going over the project scope, extensive revisions or other delays not related to me.
All forms of correspondence pertaining to the project via calls, emails, Whatsapp messaging etc, are counted as time-tracked working hours.
I am under no obligation to take calls, send messages, send any form of feedback or communication after hours, on weekends or public holidays. All correspondence, meeting or work done outside of office hours will only be done with prior consent of both parties and will be charged at double my hourly rate.
I am under no obligation to do any work for free, it is required that hours are paid for in advance for work to be done.
Hosting and emails.
I do not offer or provide support for hosting or emails.
Please make sure that you have the correct server login details sent to me from your hosts before project commencement.
Conduct
I will not accept naming and shaming, slander or verbal abuse of any kind and in the event of such reserve the right to cancel my services and withdraw from the project immediately.
